Nigeria’s capital market is set for its biggest listing in years after the Securities and Exchange Commission, SEC, approved Dangote Petroleum Refinery and Petrochemicals FZE to proceed with its Initial Public Offering at N525 per share.

Dangote Group confirmed the approval on Friday, signaling the conglomerate’s long-awaited move to open the 650,000 barrels-per-day refinery to public investors.

—THE NUMBERS: $1.5BN TARGET, 4.1BN SHARES ON OFFER—

According to sources familiar with the transaction cited by Reuters, Dangote plans to raise about $1.5 billion by offering approximately 4.1 billion shares to the public.

The IPO is scheduled to open on September 14, 2026.

To meet strong demand, the offer will include a 15% greenshoe option — meaning Dangote can issue additional shares if the IPO is oversubscribed.

Proceeds will be channeled into the refinery’s aggressive expansion drive. The company says it aims to double capacity from 650,000 bpd to 1.4 million barrels per day, positioning it as one of the largest single-train refineries globally.

—FROM WARNING TO APPROVAL: SEC’S U-TURN—

The SEC nod marks a sharp reversal.

In June 2026, the Commission warned Nigerians against “unauthorised advertisements” for Dangote Refinery shares, stating that no IPO application had been filed or approved.

That caution followed months of speculation. The approval now clears the way for what analysts say could be one of the largest public offerings in African history.
